By accessing or using the FileReady platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.
FileReady is a cloud-based software platform designed to help commercial trucking fleets manage Driver Qualification Files ("DQF") in accordance with FMCSA regulations under 49 CFR Part 391. The Service provides tools for document storage, compliance tracking, expiration alerts, and audit preparation. FileReady is a software tool — it does not provide legal, regulatory, or compliance consulting services.
You must be at least 18 years of age and authorized to operate on behalf of a commercial motor carrier to use the Service. When you register, you agree to provide accurate, current, and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
FileReady subscriptions are billed on a month-to-month basis. There are no long-term contracts. You may cancel your subscription at any time by contacting us at sales@fileready.app. Upon cancellation, your access continues through the end of the current billing period. Cancellations are prorated to the date of the request. Partial months are not refunded. FileReady reserves the right to change pricing with 30 days' advance notice.
You may use the Service solely for the lawful management of Driver Qualification Files for drivers employed by or contracted to your organization. You agree not to:
You are solely responsible for the accuracy and completeness of data you upload to the Service. FileReady is a software tool, not a compliance officer. You retain full responsibility for meeting your FMCSA obligations, including maintaining complete and current Driver Qualification Files.
FileReady enables authorized fleet managers and staff to send transactional SMS messages to drivers for the purpose of requesting document uploads, delivering compliance deadline reminders, and sending expiration alerts related to Driver Qualification Files.
Consent: By providing your mobile phone number to your employer or their authorized representative for entry into the FileReady platform, you consent to receive transactional SMS messages from FileReady related to your driver qualification documents. You may receive messages when your employer requests a document upload, when a submitted document requires resubmission, or when a document is approaching its expiration date. Message frequency varies based on your employer's requests and your document status.
Opt-out: You may opt out of receiving SMS messages at any time by replying STOP to any message you receive from FileReady. After opting out, you will receive a single confirmation message and no further SMS messages will be sent. You may re-subscribe at any time by replying START.

Rates: Message and data rates may apply depending on your mobile carrier and plan. FileReady is not responsible for any charges imposed by your carrier.
No marketing: FileReady does not send marketing, promotional, or advertising messages via SMS. All SMS messages are strictly transactional and related to driver qualification document management.
Supported carriers: SMS messages can be sent to most major US mobile carriers. FileReady does not guarantee delivery to all carriers or networks. Carriers are not liable for delayed or undelivered messages.

You retain full ownership of all driver data, documents, and records you upload to the Service. FileReady does not claim any ownership rights over your data. We will not sell, rent, license, or share your data with third parties except as necessary to provide the Service or as required by law. All customer data is encrypted at rest using AES-256 and in transit using TLS.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. FileReady does not guarantee that use of the Service will result in successful FMCSA audits, regulatory compliance, or the absence of violations. You are responsible for verifying that your Driver Qualification Files meet all applicable regulatory requirements.
To the maximum extent permitted by applicable law, FileReady LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. FileReady's total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to FileReady in the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless FileReady LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any data or content you upload to the Service.
Either party may terminate this agreement with 30 days' written notice. FileReady may terminate your account immediately and without notice if you materially breach these Terms, including but not limited to uploading fraudulent documents, attempting unauthorized access to other accounts, or using the Service for unlawful purposes. Upon termination, your access to the Service will cease. Your data will be retained for 90 days following termination, during which time you may request an export. After 90 days, data may be permanently deleted.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
FileReady reserves the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.
